General Terms of Use

By accessing and using the Sedestral Platform (the "Platform"), you agree to these General Terms of Use (the "GTU"), which govern your use of the Platform and all its components, such as Inbox, Livechat, Mails, Statistics, Contacts, HelpCenter, Publisher, Smart Blog, Smart Doc, and any other product or service provided by Sedestral (collectively, the "Products").
These GTU constitute a contractual agreement between you and Sedestral. They apply to the use of the Platform and the Products, including as part of the free offer by default proposed at registration. Please read them carefully before using the Platform or the Products.

Clause No. 1: Acceptance of the GTU
By using the Platform and the Products, you accept these GTU, as well as our Privacy Policy. If you do not accept the GTU, you may not use the Platform or the Products.
Clause No. 2: Use of the Platform and Products
The Platform and the Products are intended to be used only by individuals or entities with a professional profile. You may not use the Platform or the Products for illegal or inappropriate purposes. You are solely responsible for the use of the Platform and the Products. We reserve the right to restrict or suspend your use of the Platform or the Products if we consider that you are violating these GTU or if your use of the Platform or the Products harms our interests or those of our other users.
Clause No. 3: User account
To use certain Products, you must create a user account ("Account"). You must provide accurate, up-to-date, and complete information when creating your Account. You are solely responsible for all activities carried out under your Account. You agree to protect your password and not to share your Account with third parties. We reserve the right to suspend or terminate your Account if we consider that you have violated these GTU or if you use your Account abusively or fraudulently.
Clause No. 4: Intellectual property
The Platform and the Products are the exclusive property of Sedestral or its partners. All intellectual property rights on the Platform and the Products are reserved, and no license or right of use is granted without our prior written permission.
Clause No. 5: Support
Sedestral commits to providing support to each customer, in accordance with the terms described in our General Terms of Sale (GTS). However, Sedestral reserves the right to modify, suspend or discontinue support at any time without notice.
Clause No. 6: Products integrated into Sedestral
The Platform offers products simplifying the exchange process between you and your clients. However, Sedestral cannot guarantee that these options will be available continuously, without interruption or error. Nonetheless, no decision on your part can be justified by referring to these grounds.
Clause No. 7: Work efficiency
The Platform promotes work efficiency within a synchronized ecosystem among the different components. However, Sedestral cannot guarantee that the use of the Platform will increase the work efficiency of your employees. It is your responsibility to implement the processes and conditions conducive to optimal use of the Platform.
Clause No. 8: Liability
Sedestral cannot be held responsible for any direct, indirect, special, consequential, or other losses or damages arising from the use of the Platform or the Products, including loss of profits, data, clientele, or reputation. However, our liability shall not exceed the total amount paid by you for the use of the Platform or the Products during the twelve (12) months preceding the event giving rise to the liability.
Clause No. 9: Modification of the GTU
Sedestral reserves the right to modify these GTU at any time without notice. It is your responsibility to regularly check the GTU to be informed of these modifications. If you continue to use the Platform or the Products after the modification of the GTU, this means that you accept the new conditions.
Clause No. 10: Applicable law and competent jurisdiction
These GTU are governed and interpreted in accordance with French law in force. Any dispute arising from the use of the Platform or the Products will be submitted to the competent French courts, to the exclusion of any other court. This clause applies regardless of the place of use of the Platform or the Products by the user.

Clause No. 12: Termination
Sedestral reserves the right to terminate your access to the Platform and the Products at any time, for any reason, without notice or liability to you. In the event of termination, you are required to immediately cease all use of the Platform and the Products and to delete any content related to your account. This clause applies without prejudice to the acquired rights or contractual obligations in progress that must be honored by both parties.
Clause No. 13: Language
These GTU are written in French. In case of conflict between the French version and a translation, the French version shall prevail. This clause applies to all documents related to the GTU, including exchanges by email or chat.
